Platform Access & Account
Account Creation
You must provide accurate, current, and complete information when creating your account. You are responsible for maintaining the security of your account credentials and all activities that occur under your account.
Eligibility
You must be at least 18 years old or the age of majority in your jurisdiction to use our platform. Organisations may create accounts on behalf of their members, subject to additional verification requirements.
Account Termination
You may terminate your account at any time. We may suspend or terminate accounts that violate these terms or engage in harmful behavior. Termination does not affect your vested equity rights in active projects.
Equity & Collaboration Framework
Revolutionary Equity Model
Our platform pioneered equity-driven collaboration for circular food systems. This model ensures fair compensation for all contributors and sustained motivation throughout project development.
Contribution Valuation
All contributions (time, expertise, resources, network access) are valued using our AI-powered assessment system, taking into account market rates, project stage, and impact potential.
Equity Allocation
Equity percentages are calculated in real-time based on cumulative contribution value. All allocations are recorded on blockchain for transparency and immutability.
Vesting Schedules
Equity vests over time based on continued participation. Standard vesting is 25% immediate, 75% over 12-18 months with monthly releases.
Exit Provisions
Contributors can exit projects with vested equity intact. Unvested equity may be redistributed among remaining team members based on ongoing contribution requirements.
Dispute Resolution
Equity disputes are resolved through mandatory mediation, followed by binding arbitration if necessary. Our AI system provides objective contribution data for all proceedings.

Intellectual Property Rights
Your IP Rights
You retain ownership of intellectual property you bring to the platform. By participating in projects, you grant necessary licenses for collaborative development while maintaining your underlying rights.
Collaborative IP
IP developed collaboratively through platform projects is shared among contributors based on their contribution percentages and equity stakes. All collaborative IP agreements are documented and legally binding.
Platform IP
The platform technology, algorithms, and proprietary systems remain our intellectual property. You receive a license to use these systems as part of your platform membership.

These Terms are governed by the laws of New South Wales, Australia, without regard to conflict of law principles.
Jurisdiction
Any legal proceedings must be brought in the courts of New South Wales, Australia.
